1. Introduction and Acceptance Welcome to Topto Studio (“we,” “our,” or “us”). These Terms and Conditions govern your use of our website https://quote-design.topto.studio/ (the “Website”) and the design and consulting services we provide. Topto Studio is a commercial name operated by an independent professional. By accessing our Website or engaging our services, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or services.

2. Services Provided Topto Studio specializes in custom design, visual architecture, and structural overhauls for Kaseya Quote Manager, Datto Commerce, and other B2B quoting platforms. The specific scope of work, deliverables, timelines, and pricing will be outlined in a separate written agreement, proposal, or invoice provided to you before the project begins.

3. Payment and Refund Policy

Invoicing: Payments for our services are processed via custom invoices. Payment terms (e.g., upfront deposit, milestone payments, or net-terms) will be specified in your project proposal.
Refunds: Due to the custom nature of design and consulting services, all sales are final. Once work has commenced or deliverables have been provided, payments are non-refundable.
Delays: If a project stalls for more than 30 days due to a lack of feedback or assets from the Client, we reserve the right to invoice for the work completed to date or close the project.

4. Intellectual Property Rights

Client Ownership: Upon full and final payment of all invoices, the Client is granted full ownership and rights to the final templates and designs delivered by Topto Studio.
Pre-existing Materials: The Client guarantees that they own or have the rights to use any logos, text, or brand assets provided to us for the project.
Portfolio Rights: Unless a strict Non-Disclosure Agreement (NDA) is signed prior to the project, Topto Studio reserves the right to display the final designs in our portfolio, website, and marketing materials as examples of our work.

5. Limitation of Liability (Important)

Platform Changes: Our templates are custom-built within the native constraints of third-party platforms (like Kaseya or Datto). We are not responsible for any layout breaks, functional issues, or data loss caused by future software updates, bugs, or architectural changes made by these third-party vendors.
No Guarantee of Profits: While our designs are engineered to improve sales conversions, we do not guarantee specific financial results, win rates, or business outcomes.
Liability Cap: In no event shall Topto Studio be liable for any indirect, consequential, or loss-of-profit damages. Our maximum liability to you for any claim arising out of our services shall not exceed the total amount paid by you for the specific project in question.

6. Revisions and Approvals Projects include a set number of revision rounds as defined in your specific package (e.g., Essential, Standard, or Enterprise). Any revisions requested beyond the agreed scope will be billed at an additional hourly or flat rate, subject to Client approval.

7. Termination Either party may terminate the project if the other party breaches a material term of the agreement. Upon termination, the Client shall pay for all work completed up to the date of cancellation.

8. Governing Law These Terms shall be governed by and construed in accordance with general principles of international commercial law. Any disputes arising out of these Terms or our services shall be resolved through good-faith negotiations before pursuing other legal remedies.
